This document is an official proposal (public offer) of ФОП Стефаненко Наталія Юріївна (hereinafter, the «Seller») to conclude a distance sale contract on the terms set out below, in accordance with Articles 633 and 641 of the Civil Code of Ukraine, the Law of Ukraine «On Electronic Commerce» No. 675-VIII and the Law of Ukraine «On Consumer Rights Protection» №1023-XII. Placing an order on switchpoint.com.ua means the Buyer’s full and unconditional acceptance of the terms of this Contract (acceptance of the offer).
Terms and definitions
Online shop — a means of presenting and selling goods by concluding an electronic transaction, located at switchpoint.com.ua, in accordance with Article 3 of the Law of Ukraine «On Electronic Commerce».
Seller — ФОП Стефаненко Наталія Юріївна, which sells the goods presented in the Online Store.
Buyer — a legally capable individual aged 18 or over, or a legal entity, placing an order in the Online Store on the terms of this Contract.
Product — electrical fittings (sockets, switches and related goods) offered in the range of the Online Store.
Order — a request to purchase Goods placed by the Buyer through the Online Store, by phone or in messengers.
Subject of the agreement
2.1. The Seller undertakes to transfer the Goods into the Buyer’s ownership, and the Buyer undertakes to accept the Goods and pay for them on the terms of this Contract.
2.2. The name, range, quantity, price and completeness of the Goods are determined by the Order placed by the Buyer and confirmed by the Seller.
How the agreement is made
3.1. The Contract is concluded by accepting this public offer — that is, by the Buyer placing an Order in the Online Store.
3.2. In accordance with Article 11 of the Law of Ukraine «On Electronic Commerce», an electronic contract is deemed concluded when the person who made the offer to conclude it (the Seller) receives a response accepting this offer (confirmation of the Order by the Buyer) in the manner set out in part six of Article 11 of that Law.
3.3. The Order is confirmed by the Seller’s manager by phone, in a messenger or by email within a reasonable time after the Order is placed.
3.4. Using the Online Store to view Goods and place Orders is free of charge for the Buyer.
Price and payment
4.1. Prices of the Goods are shown on the website in hryvnias and are valid at the moment the Order is placed. The Seller reserves the right to change prices unilaterally until the Order is confirmed.
4.2. The Goods are paid for by one of the methods listed on the «Delivery and payment» page: bank transfer using the payment details, or online payment via LiqPay or Plata by mono.
4.3. Payment is deemed made when the funds are credited to the Seller’s account.
Delivery of goods
5.1. The Goods are delivered by Nova Poshta on the terms set out on the «Delivery and payment» page of the Online Store.
5.2. Goods in stock are delivered within 1 to 5 days after the Order is placed. The delivery time of made-to-order Goods is agreed with the manager separately.
5.3. The risk of accidental damage to or loss of the Goods passes to the Buyer when the Goods are handed over to the delivery service, unless the terms of that delivery service provide otherwise.
Rights and obligations of the parties
6.1. The Seller shall: deliver to the Buyer Goods of proper quality that match their description on the website, within the time agreed by the parties.
6.2. The Seller may: unilaterally suspend service to the Buyer if the Buyer breaches the terms of this Contract; change the range and prices of the Goods.
6.3. The Buyer shall: pay for and accept the Goods on time on the terms of this Contract; provide accurate contact details for placing and delivering the Order.
6.4. The Buyer may: require the Seller to fulfil the terms of this Contract; refuse the Goods in the manner provided by section 7 of this Contract and the current legislation of Ukraine.
Return and exchange of goods
7.1. Goods of proper quality may be returned or exchanged within 14 days of receipt in accordance with Article 9 of the Law of Ukraine «On Consumer Rights Protection» No. 1023-XII, provided that their presentable condition, consumer properties, factory packaging and proof of purchase are kept.
7.2. Goods made or assembled to the Buyer’s individual order cannot be returned or exchanged, except where a manufacturing defect is found in them.
7.3. The detailed return and exchange procedure is set out on the «Returns and exchanges» page of the Online Store, which is an integral part of this Contract.
Liability of the parties
8.1. The Parties are liable for failure to perform or improper performance of this Contract in accordance with the current legislation of Ukraine.
8.2. The Seller is not liable for damage caused to the Buyer by improper use of Goods purchased in the Online Store in breach of the operating instructions.
8.3. The Seller is not responsible for delays in delivery caused by the delivery service or by force majeure.
Force majeure
9.1. The Parties are released from liability for partial or complete failure to perform their obligations under this Contract if it results from force majeure (hostilities, a state of emergency, decisions of public authorities, disruptions of delivery and communication services, etc.) that arose after the Contract was concluded and that the Parties could not foresee or prevent.
Processing of personal data
10.1. By placing an Order, the Buyer consents to the processing of their personal data (name, phone number, delivery address, email) in accordance with the Law of Ukraine «On Personal Data Protection» No. 2297-VI.
10.2. The Buyer’s personal data are used only to process the Order, deliver it and contact the Buyer, and are not passed to third parties except where needed to fulfil the Order (delivery service, payment systems) or required by the legislation of Ukraine.
Dispute resolution
11.1. All disputes between the Parties are settled by negotiation. If no agreement can be reached, the dispute is referred to a court in accordance with the current legislation of Ukraine.
Term of the offer and changes to its terms
12.1. This offer takes effect when it is published on switchpoint.com.ua and remains valid until the Seller withdraws it.
12.2. The Seller reserves the right to amend the terms of this Contract unilaterally without prior notice to the Buyer. The current version is always available on this page.
